Welcome to Cynimod, a registered creative design, marketing, and events agency based in Kokomlemle, Accra, Ghana (hereinafter ‘Cynimod,’ ‘we,’ ‘us,’ or ‘our’). These Terms of Service (‘Terms‘) govern your use of our services, including but not limited to brand identity management, marketing campaigns, print coordination, publication, packaging, event deliverables and general designs. By engaging our services, you (‘Client,’ ‘you,’ or ‘your‘) agree to be bound by these Terms. Please read them carefully. If you do not agree, do not proceed with our services.
1. PAYMENT TERMS
1.1 Deposit Requirement: A minimum deposit of 50% of the total project cost is required before commencement of any project. The deposit amount will be specified in the project agreement.
1.2 Final Payment: The remaining balance must be paid in full prior to the delivery of the final project deliverables, unless otherwise agreed in writing.
1.3 Payment Method: All payments shall be made directly to Cynimod via the account details provided in the project agreement. Accepted methods include bank transfer, mobile money, cheque or other means specified by Cynimod.
1.4 Payment Confirmation: Clients must submit proof of payment to info@cynimod.com or via WhatsApp at +233 (0) 55 038 6888 to confirm transactions. Failure to provide proof may delay project progress.
1.5 Late Payments: Late payments may incur a penalty of 2% per month on the outstanding amount, subject to a maximum of 10% of the total project cost, unless otherwise negotiated.
2. REFUND POLICY
2.1 Digital Work Refunds: Clients dissatisfied with digital deliverables (e.g., designs, marketing assets) may request a refund within 7 business days of delivery. Refunds will be assessed based on the stage of completion and processed within 14 business days, less any costs incurred.
2.2 Print and Physical Deliverables: For print or event-related deliverables, Cynimod will rectify defects attributable to our error (e.g., typographical errors, design flaws) at no additional cost. Refunds for print defects are limited to the cost of the affected items, subject to inspection.
2.3 Non-Refundable Deposits: The initial 50% deposit is non-refundable unless Cynimod fails to commence the project within the agreed timeline due to our fault.
2.4 Dispute Resolution: Refund disputes will be resolved through negotiation, with escalation to mediation if necessary, as per Section 9.
3. REVISIONS
3.1 Revision Allowance: Clients are entitled to up to three (3) revisions per project at no additional charge, provided requests are made within 10 business days of receiving the initial deliverable.
3.2 Additional Revisions: Revisions beyond the third will incur an additional fee, calculated based on the scope and complexity of the changes, as detailed in a revised quote.
3.3 Error Corrections: Revisions necessitated by errors attributable to Cynimod (e.g., graphical mistakes, omissions) will be corrected at no extra cost, provided they are reported within 10 business days.
3.4 Scope Changes: Requests altering the original project scope may require a new agreement and additional fees.
4. INTELLECTUAL PROPERTY & RIGHTS PROTECTION
4.1 Ownership Retention: All project deliverables remain the intellectual property of Cynimod until full payment is received. Unpaid work may be watermarked or withheld.
4.2 Transfer of Rights: Upon full payment, Cynimod transfers to the Client a non-exclusive, royalty-free license to use the deliverables for the intended purpose, unless otherwise specified in the project agreement.
4.3 Usage Restrictions: Clients are prohibited from replicating, distributing, or modifying the work without Cynimod’s written consent prior to full payment and license transfer. Post-transfer, usage is limited to the agreed purpose (e.g., marketing, personal branding).
4.4 Third-Party Rights: Cynimod warrants that deliverables do not infringe third-party intellectual property rights, subject to Client-provided content being original or licensed.
5. LIABILITY & INDEMNITY
5.1 Limitation of Liability: Cynimod’s liability is limited to the total project cost paid by the Client. We are not liable for indirect damages (e.g., lost profits) arising from service use.
5.2 Indemnity: The Client agrees to indemnify Cynimod against claims arising from the Client’s misuse of deliverables or provision of inaccurate content.
5.3 Partner Services: For printing and event services executed by third-party partners, Cynimod’s liability is limited to coordination and quality oversight, with direct claims to be addressed with the partner.
6. TERMINATION
6.1 Client Termination: The Client may terminate the agreement with 7 business days’ written notice, forfeiting the deposit unless Cynimod breaches these Terms.
6.2 Cynimod Termination: Cynimod may terminate for non-payment or breach by the Client, retaining the deposit and any work completed.
6.3 Effect of Termination: Upon termination, all unfinished work reverts to Cynimod, and no deliverables will be provided until outstanding fees are settled.
7. DATA PROTECTION & CONFIDENTIALITY
7.1 Client Data: Cynimod collects and processes personal data (e.g., names, contact details) in compliance with Ghana’s Data Protection Act, 2012 (Act 843). Data is used solely for project execution and communication.
7.2 Confidentiality: Both parties agree to keep project details confidential, except as required by law or with mutual consent.
7.3 Retention: Client data will be retained for 5 years post-project or as required by law, with options for deletion upon request.
8. FORCE MAJEURE
8.1: Neither party shall be liable for delays or failures due to events beyond reasonable control (e.g., natural disasters, government actions), provided notice is given within 48 hours.
9. DISPUTE RESOLUTION
9.1: Disputes will be resolved through good-faith negotiation. Unresolved issues may be referred to mediation in Accra, Ghana, under the Ghana Arbitration Centre rules, with arbitration as a final recourse.
9.2: These Terms are governed by the laws of Ghana.
10. GENERAL PROVISIONS
10.1 Amendments: Cynimod may update these Terms, with changes posted on our website and effective upon posting. Continued use constitutes acceptance.
10.2 Severability: If any provision is deemed unenforceable, the remaining terms remain valid.
10.3 Entire Agreement: These Terms, alongside the project agreement, constitute the full understanding between Cynimod and the Client.
